1. Introduction

These Terms of Service govern your access to and use of Fexidoc, including the Fexidoc website, software platform, applications and related services.

By creating an account, accessing Fexidoc or using the Services, you agree to these Terms.

If you use Fexidoc on behalf of a business, organisation or other entity, you confirm that you are authorised to accept these Terms on its behalf.

If you do not agree to these Terms, you must not use the Services.

In these Terms:

"Fexidoc", "we", "us" and "our" refer to the business operating Fexidoc.

"Services" means the Fexidoc website, platform, software, document processing functionality and related services.

"Customer" means the person or organisation that creates, purchases or controls a Fexidoc workspace.

"User" means any person authorised to use a Fexidoc account or workspace.

"Workspace" means an organisational account within Fexidoc.

"Customer Content" means documents, templates, files, images, text, notes, data and other material submitted to, stored in or generated through Fexidoc.

2. About Fexidoc

Fexidoc is a business document automation and standardisation platform.

The Services may allow users to:

  • Upload company templates
  • Upload existing documents and source files
  • Configure organisation-specific documentation standards
  • Create draft documents from notes and supporting information
  • Standardise existing documents
  • Use artificial intelligence and automated processing to structure document content
  • Identify potentially missing information
  • Review and edit generated documents
  • Maintain document histories and versions
  • Export documents into supported formats
  • Manage templates, users and workspace settings

Fexidoc is intended to assist professional documentation workflows.

Fexidoc does not replace the technical knowledge, professional judgement, review, approval or legal responsibilities of the Customer or its personnel.

3. Eligibility

You must be legally capable of entering into a binding agreement to create and use a Fexidoc account.

If you are using Fexidoc on behalf of an organisation, you represent that you have authority to use the Services and bind that organisation to these Terms where applicable.

You must provide accurate information when creating your account and keep your account details reasonably current.

4. Accounts

Users may be required to create an account to access some or all of the Services.

You are responsible for maintaining the confidentiality and security of your account credentials.

You must not:

  • Share your password with unauthorised persons
  • Allow another person to impersonate you
  • Attempt to gain unauthorised access to another account
  • Use another person's account without permission
  • Circumvent authentication or security controls

You should notify Fexidoc promptly if you believe your account has been compromised.

Fexidoc may temporarily restrict access where reasonably necessary to protect an account, workspace, Customer Content or the security of the Services.

5. Workspaces

Fexidoc may allow Customers to create workspaces for use by multiple authorised users.

The person or organisation controlling a workspace is responsible for determining who is permitted to access that workspace.

Workspace administrators may be able to:

  • Invite users
  • Remove users
  • Assign roles and permissions
  • Manage templates
  • Manage documentation standards
  • Access workspace documents
  • Manage billing
  • Manage workspace settings

Customers are responsible for maintaining appropriate workspace permissions.

Users acknowledge that information they submit to an organisation-controlled workspace may be accessible to authorised administrators of that workspace.

6. Authorised use

You may use Fexidoc for legitimate business and professional purposes in accordance with these Terms.

You must use the Services in compliance with applicable laws and regulations.

You must not use Fexidoc to:

  • Engage in unlawful activity
  • Infringe intellectual property rights
  • Upload content you are not authorised to use
  • Distribute malware or malicious code
  • Attempt to interfere with the security or operation of the Services
  • Gain unauthorised access to systems or data
  • Probe, scan or test vulnerabilities without authorisation
  • Circumvent usage limits or access controls
  • Use automated methods to excessively burden the Services
  • Impersonate another person or organisation
  • Misrepresent the origin of documents or content
  • Use the Services to intentionally facilitate fraud, deception or other unlawful conduct

7. Customer Content

Customers retain ownership of their Customer Content.

Fexidoc does not acquire ownership of Customer Content merely because it is uploaded, stored, processed or generated through the Services.

You grant Fexidoc a limited right to host, store, reproduce, process, transmit and modify Customer Content only as reasonably necessary to:

  • Provide the Services
  • Process documents
  • Generate requested outputs
  • Maintain backups
  • Provide support
  • Maintain security
  • Comply with legal obligations
  • Improve the reliability and functionality of the Services where permitted by law and our Privacy Policy

This right ends when the relevant content is deleted or the Services are terminated, except where retention is reasonably necessary for backups, legal obligations, security, dispute resolution or other legitimate purposes.

8. Your responsibility for Customer Content

You are responsible for the Customer Content you submit to Fexidoc.

You represent that you have the rights, permissions and authority necessary to upload and process that content.

You must not knowingly upload content that:

  • Violates applicable law
  • Infringes another person's intellectual property rights
  • Breaches contractual confidentiality obligations
  • Contains personal information that you are not authorised to process
  • Contains unlawful or malicious material

You are responsible for determining whether Fexidoc is appropriate for the type of information you intend to process.

9. Confidential business information

Fexidoc recognises that Customer Content may contain confidential or commercially sensitive information.

We will use reasonable measures designed to protect Customer Content from unauthorised access, disclosure, misuse or loss.

Users are responsible for configuring workspace permissions appropriately and ensuring that only authorised people have access to confidential information.

Nothing in these Terms transfers ownership of a Customer's confidential information to Fexidoc.

10. Artificial intelligence and automated processing

Fexidoc may use artificial intelligence, machine learning or other automated technologies to provide some functionality.

These systems may assist with:

  • Document analysis
  • Information extraction
  • Content organisation
  • Document drafting
  • Document standardisation
  • Terminology alignment
  • Identification of missing information
  • Document formatting

Generated content may contain errors, omissions, inaccuracies or inappropriate assumptions.

You must review generated content before relying on, approving, distributing or using it.

Fexidoc may identify information requiring review, but this does not guarantee that every issue, error or missing item will be detected.

11. No professional advice

Fexidoc provides document automation technology.

Unless expressly agreed otherwise in writing, Fexidoc does not provide:

  • Legal advice
  • Engineering advice
  • Safety advice
  • Financial advice
  • Medical advice
  • Regulatory advice
  • Compliance certification
  • Professional technical approval

The Services may assist users with documents used in technical, operational, safety or compliance environments, but Fexidoc does not independently certify that a document complies with any law, regulation, Australian Standard, workplace requirement or internal organisational requirement.

Customers remain responsible for obtaining appropriate professional review where necessary.

12. Safety and technical documentation

Where Fexidoc is used to create or standardise technical, maintenance, operational, safety or workplace documents, the Customer remains responsible for verifying the accuracy and suitability of the final document.

Generated content should be reviewed by an appropriately competent or authorised person before use where the nature of the document requires such review.

Fexidoc should not be treated as the final authority for:

  • Safe work methods
  • Equipment isolation procedures
  • Engineering specifications
  • Operational limits
  • Personal protective equipment requirements
  • Regulatory obligations
  • Emergency procedures
  • Hazard controls
  • Technical instructions

The Customer is responsible for ensuring that documents reflect actual workplace conditions, equipment requirements and applicable laws or standards.

13. Templates and organisation standards

Customers may upload templates and configure organisational standards.

Fexidoc will attempt to apply those templates and standards when providing relevant functionality.

The Customer is responsible for ensuring its uploaded templates, policies, standards and instructions are current and accurate.

Fexidoc is not responsible for an incorrect output caused by inaccurate, incomplete or outdated Customer-supplied standards.

14. Generated documents

Documents generated by Fexidoc are drafts unless and until reviewed and approved through the Customer's own processes.

Customers are responsible for:

  • Reviewing generated documents
  • Confirming factual accuracy
  • Confirming document control information
  • Confirming revision information
  • Checking technical content
  • Confirming source information
  • Obtaining required approvals
  • Determining suitability for use

Fexidoc does not guarantee that generated documents will be error-free.

15. Source information

The quality of generated output depends significantly on the quality and completeness of information supplied to Fexidoc.

Incomplete, unclear, conflicting or incorrect source material may result in incomplete or incorrect outputs.

Where possible, Fexidoc may flag missing or unclear information.

The absence of a warning does not guarantee that all required information has been provided.

16. Intellectual property in Fexidoc

Fexidoc and its licensors retain ownership of all intellectual property rights in the Services, including:

  • Software
  • Platform architecture
  • User interfaces
  • Branding
  • Logos
  • Design elements
  • Website content
  • Software code
  • Documentation
  • Underlying systems
  • Features and functionality

Except as expressly permitted by these Terms, you must not copy, reproduce, distribute, sell, sublicense or create derivative works from Fexidoc proprietary materials.

17. Fexidoc branding

The Fexidoc name, logo and associated branding are proprietary to Fexidoc.

These Terms do not grant users the right to use Fexidoc branding outside ordinary use of the Services without prior written permission.

Customer branding included in customer documents remains the property of the Customer or relevant rights holder.

18. Feedback

If you voluntarily provide suggestions, ideas or feedback relating to Fexidoc, we may use that feedback to improve or develop the Services.

Providing feedback does not transfer ownership of your unrelated intellectual property or Customer Content to Fexidoc.

You are not entitled to compensation merely because Fexidoc uses voluntarily provided product feedback.

19. Subscriptions

Some Fexidoc functionality may require a paid subscription.

The features, usage allowances, storage limits and other inclusions associated with a subscription will be described when the subscription is purchased.

Subscription plans may include limits relating to:

  • Users
  • Workspaces
  • Templates
  • Document generations
  • Storage
  • Features
  • Support

Additional usage or upgraded plans may incur additional charges where clearly disclosed.

20. Fees

You agree to pay all fees associated with your selected subscription or purchased Services.

Prices will be displayed before purchase or otherwise agreed with you.

Unless stated otherwise, prices are expressed in Australian dollars where the Customer is purchasing through the Australian version of the Service.

Applicable taxes may be added where required.

21. Recurring subscriptions

Where a subscription renews automatically, the applicable billing frequency and renewal arrangement will be disclosed when you subscribe.

By selecting an automatically renewing subscription, you authorise the applicable payment method to be charged according to the agreed billing cycle until the subscription is cancelled.

You may cancel future renewals through the available account or billing controls, subject to any agreed minimum term.

Cancellation does not automatically entitle you to a refund for a period already paid for, except where required by law.

22. Free trials

Fexidoc may offer free trials or promotional access.

Any conditions, duration or limitations applying to a trial will be disclosed when the offer is made.

At the end of a trial, access may be restricted or converted to a paid plan where the user has expressly agreed to that arrangement.

Fexidoc will not charge a user merely because a free trial ends unless valid payment authorisation has been provided.

23. Changes to prices

Fexidoc may change subscription pricing from time to time.

Where a price change affects an existing recurring subscription, reasonable notice will be provided before the new price applies where required.

If a material price increase applies to a future subscription period, Customers may cancel the affected subscription before the new price takes effect.

24. Refunds

Refund rights will be provided where required under applicable law, including the Australian Consumer Law where it applies.

Nothing in these Terms excludes, restricts or modifies rights or remedies that cannot lawfully be excluded, restricted or modified.

25. Australian Consumer Law

Certain Customers may have rights under the Australian Consumer Law that cannot be excluded by contract.

Nothing in these Terms is intended to exclude, restrict or modify any guarantee, right, remedy or other protection that cannot lawfully be excluded.

Australian law also protects consumers and qualifying small businesses against unfair terms in standard-form contracts.

26. Availability of the Services

Fexidoc aims to provide reliable access to the Services.

However, we do not guarantee uninterrupted or error-free availability.

The Services may occasionally be unavailable because of:

  • Maintenance
  • Updates
  • Technical failures
  • Internet disruptions
  • Cloud infrastructure issues
  • Security incidents
  • Third-party service outages
  • Events outside our reasonable control

Where practical, Fexidoc will attempt to minimise disruption.

27. Changes to the Services

Fexidoc may modify, improve, replace or discontinue features as the platform develops.

We will seek to provide reasonable notice where a material change substantially affects paid functionality relied upon by Customers.

Changes may also be made without advance notice where reasonably necessary for:

  • Security
  • Legal compliance
  • Emergency maintenance
  • Prevention of misuse
  • Technical stability

28. Beta and experimental features

Fexidoc may make beta, preview or experimental functionality available.

These features may be incomplete, change without notice or contain additional errors.

Where practicable, beta functionality will be identified as such.

Customers should not rely on experimental functionality for critical business processes unless they determine it is appropriate to do so.

29. Third-party services

Fexidoc may integrate with or rely on third-party services such as:

  • Cloud infrastructure
  • Authentication providers
  • Payment processors
  • Artificial intelligence providers
  • Email providers
  • File storage services
  • External business applications

The availability of third-party services may affect some Fexidoc functionality.

Third-party services may be subject to separate terms and privacy policies.

30. Security

Fexidoc takes reasonable measures designed to protect the security of the Services and Customer Content.

Customers must also take reasonable security precautions.

This includes:

  • Protecting account credentials
  • Using appropriate access permissions
  • Removing users who no longer require access
  • Avoiding unnecessary sharing of confidential files
  • Keeping devices reasonably secure
  • Promptly reporting suspected unauthorised access

31. Privacy

Fexidoc handles personal information in accordance with its Privacy Policy.

The Privacy Policy forms part of the broader terms governing use of the Services but is maintained as a separate document.

Users should review the Privacy Policy before submitting personal information or Customer Content.

32. Data deletion and account closure

Customers may be able to delete information or close accounts through the available Services.

Before closing a workspace, Customers should export any documents or information they wish to retain.

Following account closure, Fexidoc may delete Customer Content subject to:

  • Applicable law
  • Backup retention
  • Security requirements
  • Dispute resolution
  • Fraud prevention
  • Contractual obligations
  • Any retention arrangement agreed with the Customer

33. Suspension

Fexidoc may temporarily suspend access where reasonably necessary because of:

  • A serious breach of these Terms
  • Non-payment
  • Security concerns
  • Suspected unauthorised access
  • Illegal activity
  • Material misuse of the Services
  • Risk of harm to the Services or other users

Where reasonable in the circumstances, Fexidoc will provide notice and an opportunity to resolve the issue.

Immediate suspension may occur where necessary to address serious security, legal or operational risks.

34. Termination by the Customer

Customers may stop using Fexidoc and cancel their subscription in accordance with the applicable subscription terms.

Customers should export required documents and data before terminating their account.

Termination does not affect rights or obligations that arose before termination.

35. Termination by Fexidoc

Fexidoc may terminate an account where reasonably necessary because of:

  • A material or repeated breach of these Terms
  • Persistent non-payment
  • Fraudulent use
  • Serious security threats
  • Unlawful use
  • Conduct creating substantial risk to Fexidoc or other users

Where practicable and appropriate, Customers will be given reasonable notice before termination.

36. Effect of termination

When an account or workspace is terminated:

  • Access to the Services may cease
  • Users may lose access to Customer Content
  • Outstanding fees remain payable where applicable
  • Certain information may be retained where legally or operationally necessary
  • Provisions intended to continue after termination remain effective

Customers should maintain independent copies of important final documents.

37. Backups

Fexidoc may maintain backups as part of normal service operations.

Backups are primarily intended to support platform resilience and are not a substitute for a Customer's own document retention or records management systems.

Customers should independently retain critical business records where appropriate.

38. Limitation of liability

To the maximum extent permitted by law, Fexidoc is not liable for indirect, incidental, consequential or special loss arising from use of the Services where such liability may lawfully be limited.

This may include losses relating to:

  • Lost profits
  • Lost business opportunities
  • Loss of anticipated savings
  • Indirect business interruption
  • Loss caused by reliance on unreviewed generated content

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

Where a statutory guarantee or other right cannot be excluded but liability may lawfully be limited, Fexidoc's liability will be limited only to the extent permitted by applicable law.

39. Responsibility for final documents

Customers are responsible for their final use of documents created or processed through Fexidoc.

Fexidoc is not responsible for consequences arising solely from a Customer:

  • Failing to review generated content
  • Using incomplete information
  • Ignoring identified review items
  • Providing inaccurate source material
  • Failing to obtain required professional approval
  • Using an outdated Customer template
  • Using a generated document for a purpose for which it was not suitable

This provision does not exclude liability that cannot lawfully be excluded.

40. Indemnity

To the extent permitted by law, a Customer is responsible for loss reasonably arising from the Customer's unlawful use of the Services, infringement of third-party rights, or material breach of these Terms.

This provision does not require a Customer to indemnify Fexidoc for loss caused by Fexidoc's own unlawful conduct, negligence or breach to the extent such responsibility cannot lawfully be transferred.

41. Confidentiality

Where either party receives confidential information from the other in connection with the Services, that information should only be used for the purposes for which it was provided.

Confidential information does not include information that:

  • Is publicly available through no breach of confidentiality
  • Was already lawfully known to the receiving party
  • Is independently developed without use of confidential information
  • Is lawfully received from another source
  • Must be disclosed by law

Nothing in this section prevents Fexidoc from processing Customer Content as necessary to provide the Services.

42. Export controls and legal restrictions

Users are responsible for ensuring their use of Fexidoc complies with applicable laws relating to their organisation, industry and jurisdiction.

Fexidoc may restrict access where legally required to do so.

43. Changes to these Terms

Fexidoc may update these Terms as the Services, legal requirements or business operations change.

The current version will be published on the Fexidoc website.

Where a change materially affects an existing paid Customer's rights or obligations, Fexidoc will seek to provide reasonable notice where appropriate.

If a Customer does not agree to a material change, they may stop using the Services and cancel future subscription periods, subject to applicable law and any separately agreed contractual terms.

44. Notices

Fexidoc may provide notices through:

  • Email
  • The Fexidoc platform
  • Account notifications
  • The Fexidoc website

Users are responsible for keeping their account email address reasonably current.

45. Assignment

Customers may not transfer their account or contractual rights to another party without Fexidoc's consent where the transfer would materially affect the agreement.

Fexidoc may transfer its rights or obligations as part of a legitimate business restructure, sale, merger or transfer of the Fexidoc business, subject to applicable law and the continued protection of Customer rights.

46. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or removed to the minimum extent necessary.

The remaining provisions will continue to operate where legally possible.

47. No waiver

If Fexidoc does not immediately enforce a right under these Terms, that does not automatically mean the right has been waived.

48. Entire agreement

These Terms, together with any applicable order form, subscription terms, Privacy Policy and other expressly incorporated agreement, form the agreement governing use of the Services.

Where a separately negotiated written agreement between Fexidoc and a Customer conflicts with these Terms, the separately negotiated agreement will prevail to the extent of the conflict.

49. Governing law

These Terms are governed by the laws applicable in Western Australia, Australia.

Subject to any rights that cannot lawfully be restricted, disputes relating to these Terms may be brought before courts or tribunals with jurisdiction in Western Australia.

Nothing in this section prevents a person from exercising rights available to them under applicable consumer or other mandatory laws.

50. Dispute resolution

If a dispute arises, the parties should first attempt to resolve it in good faith.

The parties should provide reasonable information about the dispute and attempt to resolve it through direct communication before commencing formal proceedings where appropriate.

Nothing in this section prevents either party from seeking urgent legal relief where necessary or exercising rights that cannot lawfully be restricted.
